Die vorliegende Studie soll das System und das Genehmigungsverfahren für Bürgschaften, Avalkredite und Garantien in der Aktiengesellschaft sowie die Entwicklungsperspektiven dieses Systems darlegen. Nacheinander werden die Ausnahmen vom Bankenmonopol (1), das auf das Genehmigungsverfahren anwendbare Recht (2), der Anwendungsbereich der nach Artikel L 225-35 des Handelsgesetzbuchs erforderlichen Genehmigung (3), die genehmigungspflichtigen Garantien und ihre Qualifikation (4), die Modalitäten für die Erteilung der Genehmigung (5), dann das Verfahren und die Bedingungen für die Erteilung der Genehmigung durch den Verwaltungsrat (6) und schließlich die bei fehlender Genehmigung anwendbaren Sanktionen (7) erläutert. Außerdem wird die Frage erörtert, ob der Betrag der Garantie unter Bezugnahme auf den Betrag der zugrunde liegenden garantierten Verbindlichkeit, die Garantieobergrenze und/oder die Haftungsbeschränkungsklausel, die möglicherweise in der zugrunde liegenden garantierten Verbindlichkeit enthalten ist, bestimmt werden kann (8). Schließlich wird darauf hingewiesen, in welchen Fällen eine Haftungsbeschränkung oder -ausschlussklausel ausgeschlossen werden kann und welche Auswirkungen dies auf die Gültigkeit der erteilten Genehmigung haben kann (9).
