L’ouvrage traite de la question de savoir si la procédure d’admission d’un procèsconformément à l’article 148 de la loi allemande sur les sociétés par actions (AktG), du point de vue économique comme une norme juridique efficace. La rémunération du conseil d’administration, qui a été déterminée dans le cadre d’un processus de consultation, a été fixée par le Conseil d’administration.est choisie comme une variante appropriée pour permettre au lecteur de comprendre la nécessité de la procédure d’admissibilité. Dans la première partieles structures de la société anonyme, les particularités de l’émission dela rémunération du conseil d’administration et la procédure de recevabilité sont décrites en détail.Dans la deuxième partie de la thèse, l’analyse économique du droit est introduite, puis les théories spécifiques à l’analyse des sociétés sont expliquées. Le site Les théories présentées sont ensuite utilisées pour analyser la procédure d’admission d’une demande. L’évaluation qui suit montre que la disposition de l’article 148 de la loi allemande sur les sociétés anonymes peut être considérée comme une norme juridique efficace sur la base des différentes théories.
